This is an action brought by a minority stockholder as a derivative action, and as a dissenting shareholder against corporate officers and others. The trial court dismissed plaintiff's First Cause of Action, a derivative cause, alleging that the corporation president, or a corporation he controlled, borrowed corporate funds for the use of the president's family partnerships and corporations.
