HENRY, Justice.

The sole question before this Court is whether a railroad conductor is a "managing agent" within the purview of Rule 26.04(2) Tennessee Rules of Civil Procedure. Certiorari was granted in order that this Court might formulate guidelines for making this determination and apply them to this case.
