This matter has been submitted for initial determination by this court on an agreed statement of facts pursuant to CPLR 3222.

On October 26, 1971, Stendig Development Corporation (Stendig) sold its interest in certain real property located in Staten Island to Statland Holiday, Inc. (Statland).

A note and a purchase-money mortgage in the amount of $390,000 was delivered to Stendig evidencing the balance due on the purchase price....
