Plaintiffs, the owners of 20 percent of the outstanding shares of Goldmine Plantation, Inc. (Goldmine), filed suit to have the corporation dissolved involuntarily and to recover individual damages caused by the controlling directors' ultra vires speculation with the corporate realty.
