(McLean) alleging violations of the Securities Exchange Act of 1934 (the 1934 Act), §§ 10(b) and 14(a), 15 U.S.C. §§ 78j(b) and 78n(a) arising in the course of McLean's proxy solicitation for shareholder approval of its merger into the R. J. Reynolds Tobacco Company (Reynolds).
