Plaintiff (Mrs. Poertner) and her son (Allan) each owned 50% of a lithographing company in Denver, which was operated by Allan. In 1962, the company was having serious financial difficulties. Allan asked defendant (Razor), a business management consultant, to assist in selling the business and in resolving certain personal and financial problems.
