This action arises under the Securities Act of 1933 ("The Securities Act"), the Securities Act of 1934 ("The Exchange Act"), and the Maine Blue Sky Law. Plaintiff Adrienne C. Emmi is a citizen of the State of Maine, formerly a stockholder of defendant First-Manufacturers National Bank of Lewiston and Auburn ("First Bank"), and presently a stockholder of defendant Northeastern Bankshares
