The plaintiff, Grand Isle Campsites, Inc., instituted this action against Richard E. Cheek for the recovery of $125,000.00 which represented the amount of an alleged secret profit made by Cheek resulting from the purchase of real estate by the corporation. Plaintiff alleged that Cheek was a promoter or de facto director of the corporation and as such owed a fiduciary duty not to make a secret profit on the transaction at the expense of the corporation...
