On May 22, 1964 plaintiff and Edward W. Trenholm entered into an agreement for the sale of certain land owned by plaintiff in a large tract that plaintiff was developing as a shopping center in the Town of Vestal, New York. The purchase price was $90,000 and the agreement provided that it was agreed between the parties that the purchaser intended to construct a motel and restaurant on the premises.
