In 1968 the shareholders of appellee voted to sell its property in Houston and to acquire property elsewhere where it would continue its operation as a country club. The sale was later consummated and property was purchased elsewhere. At the shareholders meetings, when determination to sell was made, the motion to make the sale was approved by a 2/3rds vote of the shareholders present.
