This diversity action1 arises out of an agreement for the purchase of land whereby plaintiff Lawrence Zirinsky agreed to purchase from defendant Brooklyn Center Industrial Park, Inc. [hereafter BCIP] 560 acres of real estate called the Earle Brown Farm which is located in Brooklyn Center, Minnesota. Defendants Sheehans, shareholders and officers of BCIP, executed the agreement on its behalf.2
