STEEL, District Judge:

Plaintiff, a large stockholder of corporate defendant, Chemetron, charges that defendants, in soliciting proxies for use at the Annual Meeting of Stockholders of Chemetron called for May 6, 1969, violated Rule 14a-9 promulgated under Section 14 of The Securities Exchange Act of 1934, 15 U.S.C. § 78n(a).
