HODGES, Justice.

This appeal involves an action for declaratory judgment seeking an adjudication on the proportion of contribution between coguarantors.

On May 1, 1964, a certificate of incorporation was issued to the R & R Commission Company, Inc. The plaintiffs each own a one-fourth of the outstanding and authorized shares of the corporation, and the remaining one-half stock is owned by the defendant.
