OPINION

COLLINSON, District Judge.

Plaintiff corporation brought this suit to recover income taxes paid by it, under protest, for the years 1961, 1962 and 1963. The taxes were assessed by reason of the disallowance as a proper deduction of part of the bonuses paid to the two executive officers of the corporation, who were also the principal stockholders.
