Appellant Doelle, a stockholder with option rights, filed a complaint based upon Sections 10(b) and 29(b) of the Securities Exchange Act of 1934 (15 U.S.C.A. §§ 78j and 78cc) and Rule 10 b-5 (17 C.F.R. § 240.10b-5) which was promulgated under Section 10(b) of the Act.
