SOBELOFF, Circuit Judge:

A dispute over the proper division of a broker's commission led to this appeal, which raises three separate issues, each governed by the law of a different jurisdiction. Although counsel for the parties failed to show any awareness of the difficulties, it should occasion no surprise that choice of law problems abound in this diversity action which involves a sale, engineered by New York brokers, of a North Carolina business to a New Jersey...
