SOBELOFF, Circuit Judge:

Under review in this appeal is an order of the District Court staying certain proceedings in the plaintiff-stockholders' derivative action against a corporation and certain of its officers and directors, so long as a similar action brought earlier in a state court by the same plaintiffs remains "outstanding and undecided." In the circumstances of the case, which will be detailed below, we conclude that the order staying further proceedings...
