BRANCH, Justice.

G.S. § 55-32 provides for the liability of directors in certain cases, and in each section where liability is imposed on directors, it is stated that the directors shall be "liable to the corporation." G.S. § 55-114(d) in pertinent part provides:

"The dissolution of a corporation shall not take away or impair any remedy available to or against such corporation for any right or claim, not covered by subsection (f) of this...
