This action is brought by plaintiff taxpayers1 who are attempting to recover taxes, interest and penalties which were assessed against them for the calendar year 1959. Jurisdiction exists under 28 U.S.C. § 1346(a) (1).

During the fiscal years ending March 31, 1959 and March 31, 1960, the plaintiff taxpayers were stockholders of V. C. Benderoff Company, a duly qualified subchapter...
