This is a civil action for a declaratory judgment and an accounting. Jurisdiction is based upon diversity of citizenship, but is limited to the purposes of an agreement between the parties dated September 30, 1965, wherein defendant agreed to waive valid objections to service of process and venue to permit suit in this Court.
