HOLMES, Justice.

This is a suit for declaratory judgment under T.C.A. § 23-1101 et seq. For convenience, we shall refer to the parties according to their status in the Chancery Court — American Plan Corporation and American's Catalog Store, Inc., as complainants, and the Commissioner of Insurance and Banking, as defendant.

The defendant first filed a demurrer to the original bill, which was overruled, and then filed an answer. The cause was heard...
