This quo warranto proceeding, LSA-CCP Art. 3901, seeks to invalidate certain actions of the board of directors of Diversified Chemicals, a Louisiana corporation created under our Business Corporations Law, LSA-R.S. 12:1 et seq. The plaintiffs are two of the corporation's directors, and the defendants are the other members of the board and the corporation itself. The defendants appeal from adverse judgment.<...
