The defendant has appealed from a final judgment of conviction of the crime of offering for sale or selling unregistered securities. A jury was waived and the case was tried to the court on stipulated facts. The defendant specifies three errors: (1) that the promissory notes in this case are not in fact securities; (2) that there was no offer for sale or sale; and (3) that the purported assignment of stock was null and void in that there was no consideration...
