Plaintiff filed a complaint alleging that he was a stockholder of Harmyl Inn, Inc., a corporation of the State of New Jersey; that he is the owner of more than 10% of the capital stock of said corporation, holding 66-2/3 shares out of a total issue of 267-1/2 shares of said stock.

Paragraph 9 of the complaint reads:
