Arbitration is sought under an agreement entered into on November 18, 1948 between Sheppard-Pollak, Inc. (hereinafter "Corporation") and John Pollak (hereinafter "Pollak") and Noah Breslow and George Goldfrank (sometimes hereinafter collectively referred to as "Stockholders").
