On December 2, 1948, J. D. Shaw, Ellen Ione Shaw (his wife), and James H. Shaw (their son) owned all the stock in Shaw Packing Co., a Texas corporation. At such time, the corporation was indebted to The Tyler State Bank & Trust Company (now Tyler Bank & Trust Co.) hereinafter referred to as the Bank, in the sum of $30,000 which was evidenced by a promissory note executed by J.
