The plaintiff brought suit to set aside an assignment whereby it had transferred to defendant a 5.484004% of the 7/8ths working interest in a mineral lease on property located in St. Martin Parish on the grounds that the party supposedly representing plaintiff in signing the assignment was not authorized to do so and was acting under a non-existent resolution of the Board of Directors.
