Plaintiff is and has been for some years a stockholder of defendant National Benefit Insurance Company, an Iowa corporation. Defendants Powell and Gunn are officers of the company. K. B. Merrill, also named as a defendant, entered a special appearance which was sustained. That order is not questioned in this appeal.
