This is a stockholders' derivative suit brought against corporate directors and officers to recover for alleged breach of fiduciary duty in the following respects: (1) Sale of stock of the corporation at less than market price; (2) compromise settlement of excessive bonus claims of the corporation's president and another; (3) payment of excessive salaries to corporate officers; (4) compromise settlement of excessive commission claims of a creditor.
