This suit is brought for the purpose of enjoining the defendant from carrying into effect a certain resolution said to have been passed by a majority of its stockholders at a special meeting held on December 9, 1935.

In the bill of complaint, after stating the necessary jurisdictional facts, plaintiff alleges: (1) That the defendant is a corporation created, organized, and existing under and by virtue of the laws of the state of Montana...
