This case is before us on a demurrer, and under the well-known rule all facts well pleaded are to be taken as true.

The parties were formerly members of a mercantile partnership doing business under the firm name of Gandia & Stubbe. On July 24, 1916, they executed what is called a "deed of dissolution, or articles of dissolution and liquidation of a mercantile partnership."
