OPINION

HENRY, Senior Judge:

Edward H. Flint appeals from an opinion and order of the Jefferson Circuit Court which granted summary judgment to Coach House, Inc. and its board of directors. The appellees have cross-appealed from an order dismissing their counterclaim for costs and attorney's fees. Upon review, we affirm.
