While at Merrill Lynch he participated in the firm's "Long-Term Incentive Compensation Plan for Managers and Producers" (LTICP or the Plan). Merrill Lynch contended that by resigning from the firm, Young lost his right to previously awarded, but unexercised, Restricted Units under the Plan. Young filed suit.
