Plaintiffs-Appellants are former employees ("the Employees") of CNF Inc. ("CNF"), a supply chain management company that underwent a substantial reorganization starting in 1996.1 The Employees allege that as a result of CNF's reorganization, which included a "spinoff" of an underperforming division of CNF in which the Employees worked, their retirement benefits were substantially reduced.
