This action derives from a failed attempt by the plaintiff (Hunneman) to acquire the assets of a real estate brokerage business owned and operated by the defendants, The Norwood Realty, Inc. (Norwood), and Robert S. Phillips and Rose Marie Phillips. Following that failure, Hunneman brought a multi-count complaint in the Superior Court essentially based upon an alleged breach of a letter of intent signed by it and those defendants on January 5, 1995.
