We decide this case pursuant to R.C. Chapters 1303 and 1304, which codify Articles 3 and 4 of the Uniform Commercial Code ("UCC") and authorize the payee of a check to employ indorsements to restrict the way in which a check drawn to his order will be paid. Specifically, former R.C. 1303.27 (former UCC 3-206) provided:

"(C) Except for an intermediary bank, any transferee under an indorsement...
