This suit arises out of efforts by United Air Lines' pilots to take over the airline, and by the airline's directors and the union representing the airline's machinists to prevent the takeover. When these efforts were first mounted, the airline was a subsidiary of a larger enterprise, and the contemplated takeover was of the entire enterprise. But the pilots wanted to divest the enterprise of its nonairline assets, so that when all the dust...
