On July 28, 1976, petitioners, NCR Credit Corporation and NCR Corporation, and respondent, Dutchmaid Inc., entered into a universal agreement entitled "Continuing Agreement For Equipment And Services."

Paragraph 19 of the universal agreement provides, in pertinent part:
