In 1982, Aircraft At Your Call, Inc. ("Aircraft") purchased an Agusta A109II helicopter from the Agusta Aviation Corporation ("Agusta USA"). The helicopter had been designed and manufactured in Italy by Agusta S.P.A. and Costruzione Aeronautiche Giovanni Agusta, S.P.A. (jointly hereafter referred to as "Agusta Italy").
