Plaintiffs/appellants Harry Sterman and Etta K. Steiner (plaintiffs) appealed from the district court order granting a summary judgment in favor of the defendants, which dismissed plaintiffs' derivative claim for recovery of short swing profits under Section 16(b) of the Securities Exchange Act of 1934, 15 U.S.C. § 78p(b).1
