The facts of the case are undisputed. Appellee Canal Insurance Company ("Canal") issued a policy of excess liability insurance to appellant Continental Marble & Granite Company, Inc. ("Continental Marble"). The Northwest Insurance Company was Continental Marble's primary insurer.
