Appellant brought this action to recover damages based upon an asserted fraudulent representation by appellees in violation of state and federal securities acts. The Securities and Exchange Act of 1934 applies to "the offer or sale of any security." 17 C.F.R. § 240.10b-5 (1981). 15 U.S.C. § 77q. The Arkansas Securities Act applies to "the offer, sale or purchase of any security." Ark.Stat.Ann. §§ 67-1235 and 67-1256 (Repl.1980)....
