PER CURIAM:

On April 23, 1973, Tech-Mod Corporation, a general partner in County Green Limited Partnership (the Partnership or the Limited Partnership), engaged Lancingwood Arms, Ltd. (Lancingwood) to build an apartment complex for a price of $2,141,700. There is no question but that this contract was an arms length agreement and bona fide. Tech-Mod subsequently assigned the contract to County Green Limited Partnership which owned the real estate. First and Merchants...
