Fashion Envelopes, Inc., Samuel Minsky, the president and sole shareholder of Fashion, and Michael Losquadro entered into an agreement, dated December 24, 1978, whereby Losquadro became an employee of Fashion and received 50% of the stock. The agreement also provided that Losquadro's salary could not be more than $50 a week below Minsky's. Arbitration was mandated "in the event of any dispute between the parties."
