The instant action involves a suit based on alleged violations of Section 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. § 78j(b), and Rule 10b-5,1 17 CFR § 240.10b-5. In addition, plaintiff has also sought recovery under principles of common law fraud and deceit. This opinion, following an 18-day trial, will constitute the Court's findings of fact and conclusions...
