Defendant Philip Langwald and wife entered into an agreement with Abe Green and wife for the purchase of land and the financing and constructing of a shopping center on it, the former to have a 1/3 and the latter a 2/3 interest therein. The agreement provided, in part, as follows:

"It is understood and agreed that the parties of the first part, as well as the parties of the second part, may transfer any portion of the interest in said project...
