Appellant, Centex Paving Company, is a corporation and filed this suit in Harris County against appellees, Joseph Quinten Underwood and William James Underwood who were operating as a partnership under the name of Underwood Oil Company. Phillips Petroleum Company, a foreign corporation, was also sued as a party defendant and will be referred to as Phillips.
