The appellee is a citizen of New York who owns fifty of the common shares of the appellant, The Mengel Company, which is a New Jersey corporation. She brought suit in the New York state court against the corporation and its president, Alvin A. Voit, a citizen of Kentucky, to enjoin the sale by the corporation to Voit of ten thousand of its unissued shares of common stock and for her reasonable counsel fees and expenses.
