Levy entered into an agreement whereby Levy was to form a corporation, Penn Ave. Record Shack, Inc., which was to purchase Robertson's business. Levy submitted articles of incorporation to the Superintendent of Corporations on December 27, 1961, but no certificate of incorporation was issued at this time.
