This matter comes before the court on defendants' motion to dismiss the complaint pursuant to Federal Rule of Civil Procedure ("Rule") 12(b)(2) for lack of personal jurisdiction, or in the alternative, for failure to state a cause of action pursuant to Rule 12(b)(6).
